Partner Program Terms and Conditions

1. Introduction

These Partner Program Terms and Conditions (“Terms”) govern the participation of schools, educational institutions, corporations, organizations, affiliates, and agents (“Partner”, “You”) in the PhysiPhone Global Partnership Program operated by PhysiPhone Global Healthcare Inc., a Canadian corporation (“PhysiPhone”, “We”, “Our”).

By registering for the program, generating a partner code, or using any related services, you agree to be fully bound by these Terms.

If you do not agree, do not submit the form or participate in the program.

2. Nature of Service

PhysiPhone provides:

• AI-assisted physiotherapy screening tools
• Movement and posture analysis
• Exercise suggestions
• Educational wellness resources
• Family health dashboards
• Employee and student wellness assessments

PhysiPhone is not a medical service and does not replace a licensed healthcare provider. No diagnosis, medical advice, or treatment is provided. All assessments are informational only.

3. Eligibility

The Partner Program is available to:

• Schools
• Colleges & Universities
• Corporations & Employers
• Fitness centers
• Insurers & benefit providers
• Non-profits
• Agents and resellers approved by PhysiPhone

We reserve the right to accept or reject any Partner registration without explanation.

4. Partner Responsibilities

Partners agree to:

• Provide accurate, complete information in the registration form.
• Ensure subscription purchases by families or employees comply with local laws.
• Not make any false representations about PhysiPhone.
• Not promise medical outcomes, cures, or health improvements.
• Not misuse branding, logos, or claims.
• Ensure all marketing complies with regional legal and advertising ethics.

Partners are responsible for their own compliance with all applicable laws in their region or country.

5. Partner Codes (Discount Codes)

Partner codes:

• Are generated instantly and assigned to your organization.
• Are intended for the number of families/employees you specify.
• Include a 10% usage buffer.
• May be disabled if suspicious, fraudulent, or excessive use is detected.
• Are valid only for subscriptions purchased directly by end users.

PhysiPhone may revoke or modify code usage limits at any time if required.

6. Payments, Pricing, and Taxes

• All subscriptions purchased using partner codes must be paid in full at the time of purchase.
• Prices may vary by country, currency, or payment gateway.
• The Partner is responsible for all applicable taxes, GST/VAT, cross-border levies.
• Partners do not receive commission unless separately contracted via a written reseller agreement.

7. Refund Policy (STRICT)

PhysiPhone may, at its sole discretion suspend a partner, terminate partner access, disable codes, or cancel participation.

Reasons may include:

• Fraud
• Misrepresentation
• Abuse of discounts
• Legal compliance issues
• Harmful behavior
• Violation of any part of these Terms

Termination does not entitle the Partner or any user to refunds.

9. No Medical or Professional Liability

PhysiPhone:

• Does not diagnose, treat, or prescribe
• Does not replace physiotherapists or doctors
• Does not guarantee accuracy of AI assessments
• Does not guarantee improvement in pain, posture, or injury outcomes

Partners must ensure that users understand all content is for informational and educational purposes only.

10. Limitation of Liability

To the maximum extent permitted by law, PhysiPhone is not liable for any injury, loss, damages, or claims arising from use or misuse of the Platform, reliance on AI-generated suggestions, posture or movement assessments, or exercise performance.

Partners and users agree to use PhysiPhone at their own risk.

In no event shall PhysiPhone be liable for indirect, incidental, special, or consequential damages, loss of profits, business, or data, or damages exceeding the value of the subscription paid. This applies worldwide.

11. Compliance with Data Protection Laws

PhysiPhone is committed to global privacy standards and complies with PIPEDA (Canada), HIPAA (U.S.—for applicable features), GDPR (European Union), DPDP Act (India), and UK Data Protection Act.

Partners agree:

• Not to collect or share user data unlawfully.
• Not to request access to individual user health assessments.
• To maintain confidentiality of any aggregated data dashboards provided to them.
• To not store or reproduce PhysiPhone intellectual property.

All data processing is handled by PhysiPhone according to our Privacy Policy and not by the Partner.

12. Intellectual Property

All brand assets, logos, videos, manuals, AI tools, assessments, and software belong exclusively to PhysiPhone Global Healthcare Inc. Partners receive no ownership rights.

Partners may promote PhysiPhone and share official assets provided by us.

Partners may not modify branded materials, reverse engineer any AI or analysis algorithms, use PhysiPhone content for unrelated products, or create competing products using PhysiPhone intellectual property.

13. Marketing Permissions

Partners may not promise medical results, use misleading claims, use unapproved media or advertisements, or modify PhysiPhone branding. Marketing must follow ethical and truthful communication standards.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively through binding arbitration in Vancouver, Canada, in English language proceedings. Partner agrees not to pursue class-action litigation.

15. Updates to Terms

PhysiPhone may update or modify these Terms at any time. Continued participation after updates constitutes acceptance.

16. Acceptance

By submitting the registration form, generating a partner code, or onboarding users, you acknowledge and agree that:

• You have read and understood these Terms.
• You accept them fully and voluntarily.
• You have authority to bind your organization.
• No refunds or trials will be provided.
